If you are under the age of 18, you represent that you have reviewed these Terms with your parent or legal guardian, and they have agreed to these Terms on your behalf and take full responsibility for your compliance. The Services are not intended for individuals under the age of 13.
Subject to your compliance with these Terms, helloprep grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your personal, non-commercial educational purposes.

To access certain features, you must register for an account. You agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
We use Stripe, Inc. ("Stripe") as our third-party payment processor. By purchasing a subscription, you authorize helloprep and Stripe to charge your designated payment method. You agree to be bound by Stripe's Terms of Service.
YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW at the end of each billing cycle (monthly, quarterly, or annually) unless you cancel at least 24 hours before the renewal date. You authorize us to charge your payment method for the renewal term at the then-current price.
You may cancel your subscription at any time through your account dashboard. Cancellation will take effect at the end of your current billing period. You will not receive a prorated refund for the remainder of the current period.
Certain subscriptions may be eligible for our 150-Point Score Improvement Guarantee. Eligibility is strictly governed by the specific terms found in our Refund Policy. Except as explicitly stated in that policy, all purchases are non-refundable.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HELLOPREP OR ITS SUPPLIERS BE LIABLE TO YOU FOR ANY LOST PROFITS, LOST DATA, OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES.
Financial Cap
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE FEES PAID BY YOU TO HELLOPREP IN THE THREE (3) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100).
You agree to indemnify, defend, and hold harmless helloprep, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from: (a) your use of or access to the Services; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property or privacy right; or (d) any claim that your content caused damage to a third party.

You and helloprep agree that any dispute arising out of or relating to these Terms or the Services will be resolved through mandatory binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.
YOU AND HELLOPREP AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
The arbitration will be conducted in Orange County, California, in accordance with the Consumer Arbitration Rules of the American Arbitration Association (AAA).
8.1 Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may freely assign or transfer these Terms without restriction.
8.2 Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions of these Terms will remain in full force and effect.
8.3 Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
8.4 Force Majeure: helloprep will not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labor or materials.
8.5 Governing Law: These Terms shall be governed by the laws of the State of California without regard to its conflict of law provisions.
8.6 Entire Agreement: These Terms constitute the entire and exclusive understanding and agreement between you and helloprep regarding the Services and supersede and replace any and all prior oral or written understandings or agreements.
